The foundational statement establishes that these terms govern all Noiz services unless expressly agreed otherwise in writing. As noted, “In the event of any conflict or ambiguity between these terms and any separate written agreement, these terms shall prevail.”

1. Estimates

Noiz may provide initial estimates, with final costs varying if clients request additional work. Written quotations include a link to the terms; client acceptance constitutes agreement. Quotations remain valid for 28 days unless otherwise specified.

2. Invoicing & Payment Terms

Standard payment requires settlement within 7 days of invoice. New projects need 50% upfront to commence, 50% upon completion, and final payment before launch. Monthly invoices are due by the 7th business day. The company states that “Late payments will accrue interest at a rate of 2% per month or the maximum rate permitted by Irish law, whichever is lower.”

Noiz retains website ownership until full payment is received. Annual price adjustments align with Ireland’s Consumer Price Index. International clients must pay in the specified currency, with bank fees their responsibility.

3. Project Terms

Noiz disclaims liability for delays unless explicitly agreed in writing. Delays are communicated promptly via email. Clients must provide required content within 2 weeks of deposit; graphic design content within 1 week. Content delays allow Noiz to renegotiate costs and timelines. Out-of-scope requests incur additional charges with written notification beforehand.

4. Ongoing Maintenance and Support

Issues must be reported within 28 days of go-live; after this period, charges apply without a maintenance agreement. The warranty period covers defects in Noiz’s work but excludes client modifications and third-party plugins. Monthly account manager consultations are limited to one hour; additional meetings incur hourly charges.

5. Termination of Service

Cancellation requires written notice one calendar month in advance. Early cancellation may result in removal of company-owned resources or access revocation. Upon termination and payment of outstanding amounts, Noiz provides reasonable transition assistance at standard rates.

6. 3rd Party Services

Noiz recommends third-party services but bears no liability for their disruptions or changes. Clients maintain their own accounts, licenses, and subscriptions with providers.

7. Website Development and Design Terms and Conditions

Clients must provide content timely; delays may trigger cost renegotiation. Plugin and theme updates are the client’s responsibility unless a maintenance plan exists. Additional pages or revisions beyond scope incur extra charges. E-commerce sites use flat-rate shipping with clients negotiating carrier rates. Default payment methods include Stripe, PayPal, and bank transfer. Client-provided content must comply with copyright law. Landing pages require their original platform for reactivation. Noiz disclaims liability for security breaches on outdated websites without maintenance agreements. Clients ensure website compliance with all applicable laws.

8. SEO Terms and Conditions

Noiz is not responsible for search engine rankings or algorithm-driven fluctuations. As stated, “SEO is an ongoing process and results cannot be guaranteed. Noiz will use industry best practices but makes no warranties regarding specific ranking positions.”

9. Email Marketing Terms and Conditions

Noiz sets up email marketing for a fixed fee; monthly platform subscriptions are client responsibility. Third-party email list issues remain the client’s liability. Clients must ensure compliance with GDPR and anti-spam legislation.

10. Content Marketing Terms and Conditions

Content reflects client guidelines and target audience. Noiz bears no responsibility for social media interactions. Clients provide newsletter content unless otherwise agreed. All client-provided content must be copyright-free.

11. Hosting Terms and Conditions

Annual hosting and domain renewal invoices are issued to Noiz-hosted clients. While Noiz addresses disruptions, the company notes it cannot guarantee “100% availability.” Backups are available only to monthly maintenance subscribers; clients should maintain their own copies. Website migration to another host incurs fees based on complexity.

12. General Service Disclaimers

Noiz is not responsible for third-party policy changes affecting services. The company makes no guarantees regarding top rankings or specific performance. Search engine submissions may take indefinite periods without timeline guarantees. Services are provided “as is” without warranties except as explicitly stated.

Website code, scripts, and databases remain Noiz intellectual property until full payment is received; afterward, clients receive a non-exclusive license. Client-provided content remains client property. Noiz retains rights to use non-confidential project elements in portfolio and marketing unless agreed otherwise.

14. Breach

Non-payment results in service suspension until full payment is received. Late hosting payments trigger hosting suspension. Client insolvency or persistent delays enable immediate contract termination. Noiz may charge reasonable debt recovery costs, including legal and collection fees.

15. Force Majeure

Neither party is liable for failures resulting from circumstances beyond reasonable control, including acts of God, war, terrorism, pandemic, government restrictions, natural disasters, strikes, or internet infrastructure failures. If force majeure continues beyond 60 days, either party may terminate without liability.

16. Disputes and Governing Law

Terms are governed by Irish law with exclusive Irish court jurisdiction. Disputes require good faith negotiation within 28 days before formal proceedings. The prevailing party may recover reasonable legal fees and costs.

17. What Can Be Expected of Us

Noiz commits to friendly, clear, and timely communication. The company aims to meet expectations and meet agreed deadlines while treating client information with confidentiality under GDPR.

18. What We Expect of Our Clients

Clients must provide necessary information promptly and settle invoices on time. Complete honesty is required regarding project-relevant information. Clients must be available for reasonable consultations and maintain courteous communication respecting staff expertise.

19. Improving Our Services

Noiz welcomes feedback for service enhancement and permits use of testimonials in marketing unless clients explicitly object.
